Terms and conditions of sale

These General Terms of Sale ('GTS') govern the entire ty-line activities of TISSUSHOP SARL ('Tissushop') to any non-professional consumer and purchaser ('the customer') using the website http://www.tissushop.fr ('the website').

The GVCs express the full obligations of the parties. The Customer is therefore deemed to accept them without reservation. Any order of products on the website implies the full acceptance of the General Terms of Sale on behalf of the Customer. By validating their order, the customer confirms that they accept all the General Terms of Sale.

The Customer and Tissushop agree that these GVCs exclusively govern their relationship. However, Tissushop reserves the right to change its terms and conditions of sale at any time without notice. They will be applicable as soon as they are posted online. The version applicable to the purchase of the Customer is the one in effect on the website on the date of the creation of the order on the website and its registration, regardless of its settlement date. The Customer is therefore invited to consult them before each order and/or use of the website.

If a condition of sale were to fail, it would be considered to be governed by the practices in force in the companies within the distance selling sector which have their head office in France.

Definitions:

- Finished product: refers to any finished item that cannot be customized by the Customer

- Cut product: refers to any item that needs to be cut according to the instructions given by the Customer when ordering. As such, Tissushop requires a minimum of 1 meter when purchasing fabrics, or haberdashery item at the cut, and this applies to all fabrics, unless otherwise stated on the product sheet.

- Custom tailoring: refers to any achievement carried out via Tissushop at the request of the Customer and according to the indications given by the customer.

 Article 1 - Subject


1.1.
These GTSs are intended to define the rights and obligations of the Parties in connection with the online sale of goods and/or the provision of services offered by Tissushop to its Customers.

1.2.
These conditions relate to purchases made by customers on the website www.tissushop.fr located in France. For any delivery to a country that is not noted on the website it is advisable to contact the customer service of Tissushop, who will study your request as soon as possible:

Article 2 - Product Description


2.1.
The products governed by these GTSs are those listed on the Tissushop website. They are offered within the limits of stocks available in reality.

2.2.
Each product posted on the website has a sheet on which are detailed the essential characteristics of the product concerned: the price All Tax Included, the composition and size of it, the estimated time of its shipment from our company.
The products are described and presented with the greatest possible accuracy. However, if errors or omissions may have occurred with respect to this presentation, Tissushop will not be liable.

2.3.
Despite all the care given to the quality of the photographs, they can be the subject of difference in tone or appearance compared to the Product.
Photographs of the products presented on the site are not contractual. It is always advisable to order a sample to ensure that the product complies with your expectations.

Article 3 - Price


3.1.
Tissushop reserves the right to change its prices at any time but undertakes to apply the current rates indicated at the time of order, subject to the availability of the products on that date.

3.2.
Prices are shown in euros. They do not take into account the delivery fee, which is charged in excess, and indicated before the order is validated. Prices take into account VAT which is applicable on the day of the order and any change in the applicable VAT rate will be automatically passed on to the price of the products of the online store. The payment of the entire amount must be made at the time of the order. At no time may the sums paid be considered as deposits or instalments.

3.3.
If one or more taxes or contributions, including environmental, were to be created or modified, both increasing and decreasing, this change could be passed on to the selling price of the products.

Article 4 - Unit of sale and minimum amount of purchase


4.1.
Products sold on site are sold either by linear meter, per unit or by the article as a whole. For products sold by linear meter, the minimum purchase is 1meter. Beyond 1 meter ,it is possible to order in increments of 0.50 meter. In the event that the buyer enters a quantity of less than 0.50meters to be added to the basket, the amount currently added to the basket will be corrected automatically by the system at 0.50meters.
In the context of products sold as a whole piece, the minimum purchase is indicated in the area is 1 unit whose value in meters is indicated. Any subsequent unit addition is done in the same proportions as the unit represented by the entire piece. In the event that the buyer enters a quantity to be added to the basket less than the amount of an entire unit, the amount currently added to the basket will be automatically corrected by the system.
For products sold on a per-unit basis, the minimum purchase is 1 unit. Beyond 1 unit, it is possible to order in increments of 1 unit. In the event that the buyer enters a quantity to be added to the basket of less than 1 unit, the amount currently added to the basket will be automatically corrected by the 1-unit system.

4. 2.
When several quantities of the same item are added to the basket, they are automatically added to the basket, regardless of the length. Prices listed on the site do not include a package for multiple cuts on the same item. In the event that the client wishes to obtain special cuts, it is required to contact the Customer Service who will send them a specific quote within this service.

Article 5 - Order


5.1.
Customers can place their order online, from the online catalogue and through the form set up on the website. The acceptance and confirmation of the order is achieved by entering data on successive pages. To submit an order, the Customer must have created an account.
5.2.
In order to create an account, the Customer must complete an online registration form that includes email, name, first name, phone number, date of birth, password and billing address. The Customer is committed to provide accurate, up-to-date and complete information about their identity. In particular, they commit to not create a false identity and to not usurp the identity of another legal or physical person.
An email confirming the creation of their personal account will be sent to the Customer, including their login credentials and the password that the customer has chosen according to the security criteria defined by Tissushop.
In the case of a lost password, the customer can request a new password through their account by clicking on the forgotten password link.
At any time, the customer may decide to disable their account by contacting the Customer Service whose contact information is listed above (see 1.2) by mail or email.
In the event of non-compliance with obligations arising from the acceptance of these Terms of Sale, incidents of payment, the issuance of incorrect information at the creation of the account or acts that could harm the interests of the company Tissushop, it reserves the right to block or cancel the order and to suspend access to the services offered on the website until the problem is resolved.
5.3.
By validating the order the Customer fully accepts these General Terms of Sale. They will also have to choose the address and delivery method, and finally validate the payment method.
5.4.
Any order implies acceptation of the prices and descriptions of the products available for sale. Any protest on this point will take place in the context of a possible exchange and the guarantees mentioned below.
Any order is firm and final once the customer has made the payment.
5.5.
In some cases, such as default, incorrect address or other problems on the Customer's account, Tissushop reserves the right to block the Customer's order until the problem is resolved. If no solution is found, Tissushop reserves the right to cancel the contentious order.
5.6.
In the event that the ordered product is unavailable or sold out, the Customer will be notified immediately by email. A replacement product will be offered, if it is not suitable for the customer, the order for this product will be cancelled and its refund will then be made by the same payment method as that used to validate the order or by an item valid for one year, with the rest of the order remaining firm and final.
5.7.
For any questions regarding the follow-up of an order, the Customer should contact Tissushop Customer Service on 03.66.72.89.34 (price of a local call) Monday to Friday from 9am to 12.30pm and from 1.30pm to 5pm or send an email to the following address [email protected]
5.8.
Any order that is sent by mail in paper format will be manually processed by the Tissushop Customer Service. In the event that the ordered product is unavailable or sold out, the Customer will be informed immediately according to the means of communication transmitted by the Customer when ordering by mail. A replacement product will be offered, if it is not suitable for the customer, the order for this product will be cancelled and its refund will then be made by the same payment method as that used to validate the order or by an item valid for one year, with the rest of the order remaining firm and final.

Article 6 - Payment method


6.1.
To pay for the order, the customer will have to pay for their purchases in euros. The Customer has the following payment methods:
- (CB, VISA, Mastercard, American Express), 
- Bank transfer, the statement of bank identity will be communicated to the customer in the confirmation email. The Customer makes a bank transfer by indicating the number of the order in the reason for the transfer. All costs associated with this method of payment shall be borne by the buyer. Payment by bank transfer must be made within a maximum of 15 days following the order’s date, otherwise Tissushop will cancel the order without notifying the Customer.
- French bank cheque, the client will send a French cheque to the order of “TISSUSHOP SARL” and the order’s confirmation that they will have previously printed. A 10-day cashing period will be applied before the order shipment. Payment by cheque must be made within a maximum of 15 days following the order’s date, otherwise Tissushop will cancel the order without notifying the Customer.
- Paypal, the customer must first have a personal Paypal account. A processing fee of 3.50% of the order’s amount will be automatically applied with this payment method.
6.2.
The Customer assures Tissushop that they have the necessary permissions to use the payment method chosen by them, when validating the purchase order. Tissushop reserves the right to suspend all order management and delivery in the event of refusal of authorization to pay by credit card on the part of officially accredited agencies or in case of non-payment.
In particular, Tissushop reserves the right to refuse to make a delivery or to honour an order from a customer who has not fully or partially settled a previous order or with whom a payment dispute is pending. Tissushop has put in place an order verification procedure to ensure that no one uses another person's bank details without their consent.
As part of this verification, Tissushop may be required to contact the Customer by any means, concerning the validation of the transaction, and may, if necessary, ask them to produce a copy of an ID as well as a proof of residence. The Customer will be required to provide the required documentation within fifteen (15) business days from the receipt of the request made by Tissushop. The order will then be validated only after receipt and verification by Tissushop of all requested documents.
Upon receipt of all the documents requested and if the order is confirmed by Tissushop, the time it will have taken to transmit and receive the requested documents from the Customer will also delay the delivery of the product or products, which will be necessary the customer expressly accepts and acknowledges.
As such, the Customer is informed that the delay, default or refusal to submit the proofs requested by Tissushop, within the allotted time, will result in the cancellation of the order by Tissushop.

Article 7 - Transaction


7.1.
The communication via the online form of the customer's credit card number and the final validation of the order will be valid for proof of the Customer's agreement in accordance with Article 1366 of the Civil Code and will be worth:
- due to the amount owed under the purchase order,
- express acceptance of all transactions.
7.2.
In case of fraudulent use of the bank card, the Customer is invited, as of the observation of this use, to contact the customer service of Tissushop on 03.66.72.89.34 (price of a local call) Monday to Friday from 9:00 a.m. to 12:30 p.m. and from 1:30 p.m. to 5:00 p.m. or by email at the address : [email protected].
7.3.
Computerized records, stored in Tissushop's computer systems under reasonable security conditions, will be considered evidence of communications, orders and payments between the parties. The archiving of purchase orders and invoices is carried out on a reliable and durable system that can be produced as proof.
7.4.
Tissushop sends the customer confirmation of their order by automatic email.
7. 5.
Under sections 2367 and following of the Civil Code, Tissushop reserves ownership of the products delivered until they are fully paid by the Customer, regardless of the date of delivery of the order.

Article 8 - Delivery terms


8.1.
Delivery can only be made after confirmation of payment by Tissushop's banking organization.

8.2.
The delivery time may not exceed a maximum period of sixty (60) working days from the confirmation of the order. Shorter indicative deadlines may be given by Tissushop prior to the conclusion of the contract. The products ordered are delivered according to the means offered by Tissushop when ordering the product (s), and according to the delivery method chosen and validated by the Customer.
As an indication, Tissushop offers the following delivery methods in particular:
Free delivery in mainland France in relay point from € 69 of purchase including tax, and € 100 at home.
Free delivery at a relay point from € 100 including VAT of purchase for Germany, Belgium, Luxembourg, the Netherlands.
Free delivery in relias point from 150 € of purchase for other countries of the European Union (except Island)
• Home delivery by Green Letter Followed:
Tissushop reserves this mode of transport for orders of samples or small coupons within the limit of the sizing conditions defined by La Poste. Choice offered only for Countries offering mail tracking to home.

A shipping cost calculation module is available in the basket in order to check the real cost of transport - This calculation module is proof of the tariffs, surcharges and taxes due. The information of the Country of delivery and the Postal code are necessary, without creating a customer account.

8.3.
The seller undertakes to make their best efforts to deliver the products ordered by the customer within the specified time frame. However, if the orders have not been delivered within the maximum delivery time, the Customer will be able to resolve the contract, provided that The Tissushop, by recommended letter with notice of receipt, has been notified, to proceed with the delivery or provide the service within a reasonable additional time. The sums paid by the Client will then be returned to them no later than 14 days after the date of the declaration of the contract, excluding any compensation or withholding.
However, Tissushop will not be liable for the Customer in the event of a delay in delivery that does not exceed the maximum delivery time.

8.4.
The products are delivered to the address indicated by the Customer on the receipt of the order, the customer will have to ensure its accuracy. Any parcels returned to Tissushop because of an incorrect or incomplete delivery address will be re-shipped at the Customer's expense. The Customer will only be able to specify one delivery address for the entire order. Tissushop can, at the customer's request, send the invoice to a billing address and not to the delivery address, for this the Customer will have to validate the option provided for this purpose on the order.
No deliveries are made to campsites, hotels, nor Stay in post office.

8.5.
If the customer is absent on the day of delivery, the delivery driver will leave a notice of passage in the mailbox, which will allow the parcel to be removed at the location and during the specified time following the chosen carrier.

8.6.
The goods travel at the peril of Tissushop, in accordance with Article L216-4 of the Consumer Code. However, the customer must check the status of the items at the time of delivery. If the original packaging is damaged, torn or opened, the Customer must inform Tissushop, within 2 (two) business days following receipt of the items, with all related proof (photos included) by email to [email protected], or by registered mail to: Tissushop – Customer service - 79 Sadi Carnot street- 59280 ARMENTIERES.

8.7.
The verification of the goods is considered to be carried out as long as the Customer, or a person authorized by them, has signed the delivery order without issuing a reservation on the carrier's receipt.

8.8.
If the products require to be returned to Tissushop due to a packaging defect, they must be requested to return to Tissushop within 14 (fourteen) days of delivery. Any claim made outside this deadline cannot be accepted.

8.9.
During delivery outside the European Union, the customer may be subject to import obligations and taxes, which are levied in the destination country. Any additional customs clearance costs shall be borne by the Client; Tissushop has no control over these fees. Customs policies vary widely from country to country, so the customer will need to contact the local customs service beforehand for more information. In addition, please note that when you place an order on our website, you are considered the official importer and must comply with all laws and regulations of the country in which you have the products delivered. International deliveries are likely to be opened and inspected by customs authorities.

8.10.
When the customer does not receive his order within the time indicated by the transport company (variable according to the carrier chosen), the latter will return the order to Tissushop.
Tissushop's sales department will contact the customer to define the terms of redelivery. The return costs as well as the reshipping costs will be borne by the customer. In the event of an order cancellation request, the return costs borne by Tissushop will be deducted from the amount of the products to be refunded.
The customer has a period of 6 months to take possession of his order; at the end of this period, the order will be considered abandoned. Tissushop then reserves the right to resell the product or donate it to associations.

Article 9 - Delivery Errors


9.1.
The Customer must make any claim of delivery error with the instructions on the purchase order no later than fourteen (14) days after the day of delivery.

9.2.

9.3.
Any claim not made in the rules set out above and within the allotted time cannot be taken into account and will relieve Tissushop of any liability towards the Customer, excluding legal guarantees.

9.4.
Upon receipt of the complaint, the Customer will receive an email from Tissushop confirming that they have taken note of their claim. Tissushop will then offer either a credit valid for one year or a refund by the same means of payment as the one originally chosen by the Customer.

9.5.
In the event of a delivery error, the Customer will receive a prepaid label to stick on the package to return it to the Tissushop address.

Article 10 - Returns, right of withdrawal


10.1.
In accordance with the provisions of the Consumer Code, the Customer has a period of 14 (fourteen) working days from the day after the date of delivery of his order, to express his right of withdrawal by email to the address contact@ fabricshop.fr. In accordance with the instructions that will be provided to him by return email, the customer will have 14 (fourteen) days to return any finished product (within the meaning indicated in the preliminary article hereof) that does not suit him and request a refund without penalty, with the exception of return costs which remain the responsibility of the Customer.

10.2.
It is however specified that, in accordance with article L.221-28 of the Consumer Code, clearly personalized products are EXCLUDED from this right of withdrawal. These products are: - Cut Products: designating any item that needs to be cut - And Made to Measure: designating any production carried out via Tissushop at the Customer's request and according to the instructions given by the Customer. NO RETRACTION PERIOD IS ALLOWED FOR THESE DEFINITELY PERSONALIZED PRODUCTS.

10.3.
Only products returned as a whole will be taken back, in their complete and intact original packaging, and in perfect condition for resale. Any product that has been damaged or used, or whose original packaging has been damaged, will not be refunded.

Article 11 - Return procedure - refund


11.1.
After having communicated his decision to withdraw, when this is accepted in accordance with article 10 above, the Customer then has 14 (fourteen) days to return the products according to the procedure transmitted by return mail. Can never be exchanged or refunded Cut Products and Made to Measure as well as sewing patterns and magazines.

11.2.

11.3.
This right of withdrawal, when possible, is exercised without penalty, it being understood that the return costs are the responsibility of the Customer. Tissushop will not accept postage due packages. In the context of an order shipped with free shipping, if the amount of the order after the return of one or more items of the order no longer allows you to benefit from free shipping, a lump sum deduction corresponding to the shipping costs will be applied to the amount to be refunded (depending on the carrier chosen by the Customer).

11.4.
Tissushop will reimburse the Customer for the full amount corresponding to the returned items within 14 (fourteen) days of the date on which the package is returned. The Customer is strongly advised to keep proof of sending the parcels.

Article 12 - Guarantees


12.1
Tissushop guarantees, in accordance with the current legal provisions, the Customer, against any hidden defect and non-compliance, a defect with the fabric, design or manufacture affecting the products delivered and rendering them unsuitable for use.

12.2.
The Customer has, in accordance with the legal provisions, a period of 2 (two) years from the issuance of the property to act against Tissushop.

They can choose between repairing or replacing their order. However, the seller may not proceed according to the buyer's choice if the choice results in a cost that is clearly disproportionate to the other modalities, given the value of the property or the size of the defect. They are then obliged to proceed, unless impossible, according to the modality not chosen by the buyer. The Client is exempt from reporting proof of the existence of non-compliance within twenty-four months of the issuance of the property. The legal guarantee of compliance applies independently of the commercial guarantee.
The Customer may decide to implement the hidden defect guarantee in accordance with Article 1641 of the Civil Code; in this case, it can choose between the resolution of the sale or a reduction in the sale price in accordance with 1644 of the Civil Code.

12.3.
Any warranty, contractual and/or legal, is excluded in case of misuse, use for professional purposes, negligence or failure to maintain on the part of the Customer, as in case of normal wear and tear of the property, accident or force majeure, or if the Customer has undertaken, on their own initiative, work to rehabilitate or modify the products.

12.4.
The Customer is expressly informed that Tissushop is not the producer of the products presented within the meaning of Articles 1245 and the following relating to liability for defective products.

Article 13 - Major Force


13.1.
Any circumstances beyond the control of the Parties preventing the normal performance of their obligations are considered to be causes of exemption from the obligations of the Parties and result in their suspension.

13.2.
The Party that invokes the above circumstances must immediately notify the other party of their occurrence, as well as their disappearance.

13.3.
All irresistible facts or circumstances, outside the Parties, unpredictable, inevitable, independent of the will of the Parties and which cannot be prevented by the Parties, despite all reasonably possible efforts will be considered as cases of force majeure. Expressly, in addition to those usually retained by the jurisprudence of French courts and courts, the blocking of means of transport or supply, earthquakes, fires, storms, floods, lightning, the shutdown of telecommunications networks or difficulties specific to telecommunications networks outside customers, are considered cases of major force or fortuitous cases.

13.4.
The Parties will come together to examine the impact of the event and agree on the conditions under which the contract will be continued. If the case of major force lasts more than three months, these terms and conditions may be terminated by the aggrieved party by sending a notice notified by a recommended letter with a request for notice of receipt.

Article 14 - Processing personal data


14.1.
The personal data collected in connection with the parties' business dealings is intended to enable, among other things, the registration and processing of customer’s order, responding to requests for information and managing the customer’s file.

14.2.
The data will be retained by the various departments of Tissushop for the time necessary to carry out the purposes described above.

14.3.
The person whose personal data has been collected has the right to access, correct, erase, limit processing, as well as the right to object to the processing and portability of the data, in accordance with the provisions of the General Data Protection Regulations of April 27, 2016.


14.4.
At any time, the person concerned may withdraw their consent to the processing of their personal data, without infringing the legality of the treatment based on the consent made before the withdrawal of the consent. The person concerned also has the option of making a claim to a supervisory authority.

14.5.
The provision of the Customer's personal data is essential for the successful execution of the sales contract. Therefore, the Client consents to the processing of their personal data by agreeing, by clicking on the specified location, these terms and conditions. Failure to provide data or missupply may result in Tissushop cancelling the order.

Article 15 - Customer notice
Each customer will have the opportunity to give an opinion on the product ordered by leaving a note and a comment visible to all. The review must therefore relate to a shopping experience experienced by the author of this review, associated with a customer account. The customer must identify himself to his customer account to be able to leave a review.
The opinions thus formulated will be moderated by Tissushop; Opinions containing insults, defamatory, discriminatory remarks, contrary to the law and morality or considered inappropriate by the moderator will not be published.
Tissushop undertakes to delete any notice at the express written request of the customer.
When modifying the substantial characteristics of a product, Tissushop may delete and archive previous opinions relating to this product.
Tissushop undertakes to carry out a monthly draw among the reviews published (based on the principle of one review = one chance to win) in order to allocate a gift card worth €30 (thirty euros) and notify the winner by email to the address of the customer account.

Article 16 - Non-renouncement
The fact that Tissushop does not avail itself of a breach by the other Party in any of the obligations covered by these GTSs cannot be construed in the future as a waiver of the obligation at issue.

Article 17 - Translation

Article 18 - Intellectual Property
The content of the website is owned by Tissushop and is protected by French and international intellectual property laws. Any full or partial reproduction of its contents is strictly prohibited and is likely to constitute a crime of infringement.

Article 19 - Litigation, mediation
In the event of a dispute between the professional and the consumer, they will try to find an amicable solution.
In the absence of an amicable agreement, the consumer has the opportunity to refer the professional's consumer ombudsman, the Association of European Ombudsmans (AME CONSO), free of charge, within one year of the written complaint. addressed to Tissushop.
The referral to the Consumer Ombudsman should take place:

Article 20 - Applicable Act
These GTSs are subject to the application of French law, excluding the provisions of the Vienna Convention. This is the case for substantive rules as well as for rules of form. In the event of a dispute or a complaint, the Customer will first contact Tissushop for an amicable solution. Failing that, the Customer will be able to initiate proceedings before the court of their choice, if they are a consumer.
